Acceptance of Terms

By clicking "I Agree," accessing, or using the FinCrew AI platform and services, you ("Customer," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (these "Terms"), together with our Privacy Policy, Data Processing Addendum, and any applicable Order Form. These Terms constitute a legally binding agreement between you and FinCrew AI Inc. ("FinCrew AI," "we," "us," or "our"), a Delaware corporation.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

These Terms apply exclusively to business-to-business (B2B) relationships. The Services are intended for use by businesses and organizations only and are not targeted at or intended for individual consumers or personal use.

1. Definitions

As used in these Terms, the following capitalized terms have the meanings set forth below:

  • "AI Agents" means the specialized artificial intelligence modules within the Platform, including the Data Ingestion Agent, Transaction Recording Agent, Invoice Management Agent, Fraud Detection Agent, CFO Orchestrator, and Reporting Agent, designed to perform specific financial intelligence functions.
  • "Authorized Users" means Customer's employees, contractors, and agents who are authorized by Customer to access and use the Services under Customer's account.
  • "Customer Data" means all data, information, and materials provided, uploaded, or generated by Customer or Authorized Users in connection with the use of the Services, including all financial data, transaction records, invoices, reports, and other business information.
  • "Data Processing Addendum" or "DPA" means the data processing agreement which governs the processing of personal data under these Terms and is incorporated herein by reference.
  • "Documentation" means the user guides, technical documentation, and other materials made available by FinCrew AI describing the features, functionality, and proper use of the Services.
  • "Effective Date" means the earlier of (a) the date Customer first accesses or uses the Services, or (b) the date specified in an Order Form.
  • "Order Form" means the ordering document, subscription agreement, or other written or electronic agreement executed between FinCrew AI and Customer that specifies the Services to be provided, pricing, subscription term, and other commercial terms.
  • "Platform" means FinCrew AI's proprietary cloud-based software-as-a-service platform that provides AI-powered financial intelligence capabilities through multiple specialized AI Agents.
  • "Services" means the Platform, AI Agents, integrations, support services, and all related services provided by FinCrew AI as described in the applicable Order Form and Documentation.
  • "Subscription Term" means the initial term specified in the Order Form, together with any renewal terms.
  • "Third-Party Integrations" means software, applications, or services provided by third parties that integrate with or are accessible through the Platform, including accounting software such as QuickBooks, Xero, NetSuite, and others.

2. Provision of Services

2.1 Access to Services

Subject to Customer's compliance with these Terms and payment of applicable fees, FinCrew AI grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the Subscription Term solely for Customer's internal business purposes.

2.3 Anti-Hallucination Safeguards

FinCrew AI implements multiple layers of validation and verification mechanisms designed to minimize AI-generated errors or "hallucinations," including multi-model consensus verification, rule-based validation, confidence scoring, human-in-the-loop review triggers, and audit trails for all AI decisions.

Customer acknowledges that despite these safeguards, no AI system is infallible, and Customer retains responsibility for reviewing and verifying all AI-generated outputs.

2.4 Service Availability

FinCrew AI will use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for planned maintenance, emergency maintenance, and circumstances beyond FinCrew AI's reasonable control.

2.5 Integrations

The Services support integration with various Third-Party Integrations. FinCrew AI will use commercially reasonable efforts to maintain compatibility with major accounting platforms but does not guarantee continuous availability of any specific integration.

2.6 Support Services

All subscriptions include basic support services including email support during business hours (9 AM - 6 PM EST, Monday-Friday). Enhanced support services may be available for an additional fee.

2.7 Service Modifications

FinCrew AI reserves the right to modify, enhance, or discontinue any aspect of the Services at any time with reasonable notice of material adverse changes.

2.8 Beta Features

Beta Features are provided "AS IS" without warranties of any kind and may be discontinued at any time without liability.

3. Customer Data and Security

3.1 Customer Data Ownership

Customer retains all right, title, and interest in and to Customer Data. Customer grants FinCrew AI a limited, non-exclusive, worldwide license to access, use, process, and store Customer Data solely to provide the Services.

3.2 Data Processing Role

FinCrew AI acts as a data processor with respect to Customer Data. Customer is responsible for ensuring compliance with all applicable data protection and privacy laws.

3.3 Security Measures

FinCrew AI maintains administrative, physical, and technical safeguards including encryption of data in transit (TLS 1.2+) and at rest, multi-tenant architecture with logical data isolation, role-based access controls, regular security assessments, and compliance with SOC 2 Type II standards.

3.4 Data Location and Transfer

Customer Data may be stored and processed in data centers located in the United States and other jurisdictions. For customers subject to GDPR, the Data Processing Addendum applies.

3.5 Data Retention and Deletion

Upon termination, Customer may export Customer Data for thirty (30) days. After this period, FinCrew AI will delete or anonymize Customer Data except as required by law. FinCrew AI retains the right to use anonymized, aggregated data for analytical and improvement purposes.

3.6 Data Backup

FinCrew AI performs regular automated backups for disaster recovery purposes. Backups are not a substitute for Customer's own backup practices.

3.7 Customer Security Responsibilities

Customer is responsible for maintaining the confidentiality of account credentials, implementing access controls, and promptly notifying FinCrew AI of any unauthorized access.

3.8 Security Incidents

In the event of an unauthorized data access, FinCrew AI will notify Customer within seventy-two (72) hours, provide information about the incident and remediation efforts, and take reasonable steps to prevent recurrence.

4. Acceptable Use Policy

4.1 Permitted Uses

Customer may use the Services solely for lawful business purposes related to financial management, accounting, reporting, analysis, and related financial intelligence functions.

4.2 Prohibited Uses

Customer shall not:

  • Use the Services for any unlawful, fraudulent, or malicious purpose
  • Reverse engineer, decompile, or disassemble the Platform or AI Agents
  • Circumvent security features or access controls
  • Use the Services to develop competing products or services
  • Sublicense, resell, or make the Services available to third parties
  • Share or publish account credentials to unauthorized persons
  • Upload or process data belonging to third parties without proper authorization
  • Benchmark or publish performance information without prior written consent

4.3 Data Input Responsibility

Customer is solely responsible for the accuracy, quality, and legality of Customer Data.

4.4 Compliance with Financial Regulations

Customer is responsible for ensuring that its use of the Services complies with all applicable financial regulations, accounting standards, and tax laws.

4.5 Suspension Rights

FinCrew AI may suspend access if Customer breaches these Terms, poses a security risk, or fails to pay fees when due.

5. Intellectual Property Rights

5.1 FinCrew AI Intellectual Property

FinCrew AI and its licensors own all right, title, and interest in the Platform, Services, AI Agents, software, algorithms, machine learning models, Documentation, and all related intellectual property.

5.2 Customer Data Rights

Customer retains all right, title, and interest in Customer Data. FinCrew AI does not claim any ownership rights in Customer Data.

5.3 License Grant to Customer

FinCrew AI grants Customer a limited, non-exclusive, non-transferable license during the Subscription Term to access and use the Services and Documentation.

5.4 Feedback and Suggestions

If Customer provides feedback or suggestions, Customer grants FinCrew AI a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without attribution or compensation.

5.5 Machine Learning Improvements

FinCrew AI may use anonymized, aggregated insights derived from Customer Data to train and improve AI models. FinCrew AI retains all intellectual property rights in such improvements.

5.6 Marketing and Publicity

Unless Customer opts out in writing, FinCrew AI may identify Customer as a user of the Services in marketing materials. Customer may revoke this permission by contacting legal@fincrewai.com.

6. AI-Specific Disclaimers and Limitations

6.1 Nature of AI Outputs

AI-generated insights, recommendations, and predictions are assistive tools designed to augment human decision-making, not replace professional judgment. AI outputs may contain errors despite safeguards.

6.2 Not Financial Advice

THE SERVICES DO NOT CONSTITUTE FINANCIAL ADVICE, ACCOUNTING ADVICE, TAX ADVICE, LEGAL ADVICE, OR INVESTMENT ADVICE. FinCrew AI is not a registered accounting firm, financial advisor, or legal service provider.

6.3 Verification Responsibility

Customer is solely responsible for reviewing and verifying all AI-generated outputs before relying on them for business decisions.

6.4 Fraud Detection Limitations

No fraud detection system can identify 100% of fraudulent transactions. The system may generate false positives or false negatives. Human expertise remains essential.

6.5 Not a Replacement for Professionals

The Services are not intended to replace qualified accountants, CPAs, CFOs, external auditors, tax advisors, or legal counsel.

6.6 Accuracy Disclaimers

FINCREW AI DOES NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE.

7. Fees, Payment, and Taxes

7.1 Subscription Fees

Fees are based on the subscription plan and are payable in advance, non-refundable except as expressly provided, and exclusive of taxes.

7.2 Payment Terms

Payment is due within fifteen (15) days of the invoice date. Customer authorizes automatic charges for recurring fees.

7.3 Late Payments

FinCrew AI may charge interest at 1.5% per month on overdue amounts and suspend access after ten (10) days' written notice.

7.4 Taxes

All fees are exclusive of taxes. Customer is responsible for all applicable taxes except taxes on FinCrew AI's net income.

7.5 Fee Changes

FinCrew AI may change fees for renewal terms with at least sixty (60) days' written notice.

7.6 Refund Policy

Subscription fees are generally non-refundable. If Customer terminates for FinCrew AI's uncured material breach, FinCrew AI will refund prepaid fees prorated to the termination date.

8. Term and Termination

8.1 Subscription Term

Subscriptions automatically renew unless either party provides thirty (30) days' written notice before the renewal date.

8.2 Termination for Cause

Either party may terminate upon thirty (30) days' notice if the other party materially breaches these Terms and fails to cure.

8.3 Effect of Termination

Upon termination, Customer has a thirty (30) day data export period. After that, FinCrew AI will delete or anonymize Customer Data.

9. Warranties and Disclaimers

9.1 FinCrew AI Limited Warranty

FinCrew AI warrants that the Services will perform materially in accordance with the Documentation and will be provided in a professional manner consistent with industry standards.

9.2 Warranty Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FINCREW AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

10.1 Exclusion of Consequential Damages

NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR RELIANCE ON AI-GENERATED OUTPUTS.

10.2 Liability Cap

Each party's total aggregate liability shall not exceed the total amount paid by Customer during the twelve (12) months preceding the event giving rise to liability.

10.3 Exceptions

These limitations do not apply to indemnification obligations, payment obligations, gross negligence, willful misconduct, or intellectual property violations.

11. Indemnification

Customer shall indemnify FinCrew AI against claims arising from Customer Data, Customer's use of the Services in violation of these Terms, or Customer's negligence. FinCrew AI shall indemnify Customer against third-party intellectual property infringement claims relating to the Services when used in accordance with these Terms.

12. Confidentiality

Each party shall protect the other's Confidential Information using at least reasonable care, not disclose it to third parties except as permitted, and use it solely for purposes of these Terms. Confidential Information excludes publicly available information or information independently developed.

13. Data Processing Addendum

To the extent Customer Data includes personal data, the Data Processing Addendum is incorporated by reference. FinCrew AI acts as the processor and will process personal data only on Customer's behalf and in accordance with Customer's documented instructions.

14. Third-Party Integrations

The Services support integration with third-party accounting software including QuickBooks, Xero, and NetSuite. FinCrew AI makes no warranties regarding third-party integrations. Customer's use of such integrations is governed by separate agreements with the third-party providers.

15. Compliance and Export Controls

The Services may be subject to U.S. export control laws. Customer warrants it is not located in any sanctioned country and will comply with all applicable export laws. Customer is solely responsible for compliance with all applicable financial regulations.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, DPA, and any Order Forms, constitute the entire agreement between the parties.

16.2 Amendments

FinCrew AI may modify these Terms with at least thirty (30) days' notice. Continued use constitutes acceptance.

16.3 Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States of America.

16.4 Jurisdiction

Legal proceedings shall be conducted exclusively in the state or federal courts located in Wilmington, Delaware.

16.5 Waiver of Jury Trial

EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO TRIAL BY JURY.

16.6 Severability

If any provision is held invalid, the remaining provisions continue in full force and effect.

16.7 Notices

All notices shall be in writing and delivered to the applicable party's registered address or email.
